Lynn Horwitz, Special Counsel

Lynn D. Horwitz is special counsel in the Firm's business department.  In 1994, she joined Kronish Lieb Weiner & Hellman LLP, which was merged into Cooley Godward Kronish LLP in 2006. She is resident in the New York office.

Ms. Horwitz has a broad range of experience handling corporate and commercial matters, including mergers and acquisitions, corporate restructurings, public and private financings, private equity transactions, public offerings and securities law compliance.

Ms. Horwitz's recent representations include:

  • The representation of Rafaella Sportswear, Inc., a manufacturer of women's sportswear, in connection with a sale of a majority interest to Cerberus Capital Management LP in a leveraged transaction financed in part by a private placement of $172 million of senior secured notes.
  • The representation of LVI Services Inc., a leading provider of a wide array of integrated facility services, including environmental remediation, in connection with the sale of the company in 2002 to Blue Point Capital Partners and in 2005 to Code Hennessy & Simmons LLC, a Chicago-based private equity firm, and in connection with its acquisitions of the assets of several regional remediation and demolition companies over the past 10 years.
  • The representation of Sabin Metal Corporation, the largest privately owned precious metals refiner in the United States, in connection with its expansion into new lines of business and its negotiation of service agreements with several multi-national companies.
  • The representation of WestLB, a lead bank, in the negotiation and restructuring of $850 million of loans made by over 30 banks to AES Eletropaulo, a Brazilian electric power distributor.

Ms. Horwitz received a J.D., cum laude, from Fordham University School of Law, where she was an associate editor of the Fordham Law Review.  Ms. Horwitz also is an elected member of the Order of the Coif.  Prior to practicing law, Ms. Horwitz held technical and managerial positions at a number of financial services companies, including Merrill Lynch, and was a licensed securities broker. Ms. Horwitz received a B.A. in computer science with a minor in economics, magna cum laude, from Queens College, City University of New York. 

Ms. Horwitz is a member of the Corporate Law Section of the American Bar Association.  She also served as a faculty member for "The New SEC Compensation & Related Rules", a program sponsored by the New York City Bar.
