Kay Chandler, Partner

L. Kay Chandler is a partner in Cooley's Business department and an active member of the Firm's Life Sciences practice group. She joined the Firm's San Francisco office in 1988 and relocated to San Diego in 1992 as a founding member of the Firm's San Diego office.

Ms. Chandler specializes in representing public and private life sciences companies in a wide range of securities, corporate and commercial matters that are critical to their businesses. She advises biotechnology, diagnostic and device companies on complex commercial transactions, including technology licenses and acquisitions, research and development collaborations, supply, distribution and manufacturing agreements, and profit-sharing and co-promotion arrangements, based on her extensive experience in assisting clients to establish and maintain relationships with pharmaceutical, medical device, energy, chemical and agricultural companies in the United States, Europe and Asia. She also counsels clients on securities and corporate matters, including private financings, public offerings, mergers and acquisitions, and corporate governance and disclosure issues. She works closely with her clients to understand each client's business and strategic objectives and to structure and negotiate transactions to meet those objectives.

Included among Ms. Chandler's clients are ACADIA Pharmaceuticals, Amylin Pharmaceuticals, BioAlliance Pharmaceuticals, Cebix, Cypress Bioscience, Gen Probe, Genoptix, Horizon Pharma, Ichor Medical Systems, Intellikine, MannKind, Ocera Therapeutics, Sequel Pharmaceuticals, Verenium Corporation, and Vical Incorporated.

Ms. Chandler has been a guest speaker on strategic partnering and corporate issues affecting life sciences companies at various conferences. She is a member of the State Bar of California, the San Diego County Bar Association and the Business and Intellectual Property Law sections of the American Bar Association. She has been actively involved in recruiting and was a long-standing member and former Chair of the Firm's Hiring Committee. Ms. Chandler received an Athena Pinnacle Award in the service category in 2004 in recognition of her efforts toward the development and promotion of skilled and talented women in the San Diego technology business community. She also co-founded The Women in Sciences and Technology (TWIST), a networking group for women professionals in the life science field.

Ms. Chandler is recognized as a leading lawyer in the nation. She has been named to the 2006-2011 editions of Best Lawyers in America in the category of Biotechnology and was named San Diego Biotechnology Lawyer of the Year by Best Lawyers of America in 2011.  She has been recognized in Chambers USA: America's Leading Lawyers for Business 2009 and 2010 editions in the category of Life Sciences: Commercial (National and California). She has also been recognized in the 2007-2009 Southern California Super Lawyers - San Diego list in the category of Securities & Corporate Finance and by Lawdragon as one of 500 dealmakers in America in 2007.

Ms. Chandler received her J.D. in 1988 from the University of Michigan Law School, where she was an editor of the University of Michigan Journal of Law Reform. She received her B.A. in Economics from the University of Michigan in 1985, graduating with distinction.
