Alfred L. Browne, III is a partner in the Cooley Business department, and is partner in charge of the Firm's Boston office. He joined the Firm in 2007 and is resident in the Boston office.
Mr. Browne specializes in mergers and acquisitions; late-stage venture capital and growth equity transactions; cross border transactions; and complex intellectual property transactions, particularly in the software industry. Mr. Browne's clients include strategic and financial buyers and sellers in public and private acquisitions, including private equity sponsored leveraged buyouts and take-private transactions. Mr. Browne also has significant experience in counseling boards of directors in connection with mergers and acquisitions and related governance and anti-takeover matters.
Mr. Browne has experience representing a broad range of technology and other growth companies including software, technology-enabled services, healthcare IT, telecommunications, and services companies.
Prior to joining Cooley, Mr. Browne was a partner and chair of the Venture Capital/Emerging Companies Group in the Boston office of Sullivan & Worcester LLP. He also formerly practiced law in the Business Practice Group at Testa, Hurwitz & Thibeault, LLP. Representative client work:
- Represented clients in over $4 billion worth of M&A transactions, principally in the software and IT industries
- Represented a private equity firm in a $136 million leveraged take-private buyout of a publicly traded software and services company
- Represented private equity firms in the recapitalization of a software and services business that provides web-based treasury and risk management solutions and services
- Represented a software company in a leveraged recapitalization with a major private equity firm
- Represented a private equity firm in take-private buyout of a publicly traded enterprise software company
- Ongoing representation of clients on transactions regarding the protection, enforcement, licensing and acquisition of intellectual property rights
